Terms of Service

1. General Provisions

These Terms of Service ("Terms") govern access to and use of the sheri platform ("Platform") — a SaaS service for running giveaways, contests and social-media challenges. The Platform is operated by a sole proprietor (FOP) registered in Ukraine under the laws of Ukraine.

By creating an account or using the Platform, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, please stop using the Platform.

2. Definitions

• Platform — the sheri online service available through the website and mobile interfaces, providing tools to create and run giveaways.
• User — any individual who has registered an account on the Platform.
• Organizer — a User who creates and runs giveaways for their audience (creator, brand or community).
• Participant — a User or guest who joins a giveaway by submitting a content link or contact details.
• Giveaway — any contest, random draw, video duel or social challenge created by an Organizer on the Platform.
• Subscription — a paid plan that grants an Organizer access to advanced Platform features for a defined period.

3. Registration & Account

You can create an account using a phone number (verified via OTP), an email address, or Google, Apple or Telegram sign-in. The phone number remains the primary identifier of your account.

The Platform is intended for users aged 16 and older. By creating an account you confirm that you meet this age requirement and that the information you provide is accurate.

You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Please notify us immediately if you suspect unauthorized access.

4. Subscriptions & Billing

Paid Platform features are available via Subscriptions billed on a monthly or yearly cycle. Current pricing and included features are listed on the pricing page and may change with prior notice. Payments are processed by third-party providers; the Platform does not store full payment-card data.

Subscriptions renew automatically unless you cancel before the end of the current billing period. If a charge fails, we may suspend access to paid features until the outstanding balance is settled.

5. Service Availability

The Platform is provided on an "as is" basis without guarantees of uninterrupted operation. We make reasonable efforts to maintain high availability and may perform scheduled maintenance with prior notice where practical.

Certain features (for example beta capabilities or social-media metrics fetched from TikTok, YouTube and Instagram) rely on third-party APIs and may be temporarily unavailable for reasons beyond our control.

6. Cancellation & Refunds

You can cancel your Subscription at any time from your account settings. You keep access to paid features until the end of the period you already paid for; no further charges will be made and your plan then drops to the free tier (or the lower tier you scheduled).

Every paid period is final. We do not return payments for periods already started, including when you cancel mid-cycle, downgrade, or stop using the Platform. If a paid feature is broken on our side, contact support and we will fix the issue or extend your current period; we do not reverse a charge that already settled.

7. Acceptable Use & Giveaway Rules

When using the Platform you agree not to use bots, artificial engagement, fake accounts or any other means to manipulate giveaway results, and to comply with the terms of the social networks from which content is submitted.

The Organizer is fully responsible for the legality of their giveaway, the rules for selecting winners and the delivery of prizes. Giveaways that violate the law or contain fraudulent, offensive or otherwise unlawful content are prohibited.

8. Limitation of Liability

The Platform acts as a technical intermediary and is not a party to the relationship between Organizers and Participants. We are not liable for giveaway content, actions of Organizers or Participants, force majeure events, or outages of connectivity and third-party services.

To the maximum extent permitted by law, our total aggregate liability to you is limited to the amounts you paid to the Platform during the twelve (12) months preceding the event giving rise to the claim.

9. Intellectual Property

All rights to the Platform, its source code, design, logo, copy and other elements belong to sheri or its licensors and are protected by Ukrainian law and international conventions. By uploading content (titles, descriptions, media) you grant the Platform a non-exclusive licence to display it as required to deliver the service.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the Platform interface or by email before they take effect. Continued use of the Platform after an update constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of Ukraine. Any disputes arising from these Terms shall be resolved through negotiation or, if necessary, by the courts at the place of registration of the sole proprietor.
